Terms and Conditions

FormDesk is the online software solution of Vesta Group B.V. for the waste industry, including updates and documentation. The agreement governs the relationship between Vesta Group B.V. (hereinafter: 'SEDNA.software') and the user for the use of this software.

These terms and conditions apply to all agreements between SEDNA.software and users of FormDesk. Deviations are only valid if confirmed in writing by SEDNA.software.

SEDNA.software grants the user a non-exclusive, non-transferable right to use FormDesk for internal business purposes. It is not permitted to make FormDesk available to third parties or to share login credentials. The user is responsible for keeping their credentials confidential.

Applicable prices are stated in the agreement or on the website. SEDNA.software reserves the right to adjust prices annually with two months' prior notice. Invoices must be paid within 30 days of the invoice date. In the event of non-payment, SEDNA.software is entitled to suspend its services.

SEDNA.software endeavours to keep FormDesk available and up to date. Planned maintenance is announced in advance. Support is available via the channels defined in the agreement.

SEDNA.software is only liable for damages directly caused by intent or gross negligence. SEDNA.software is in no event liable for indirect damage, consequential damage, loss of profit or data loss. Total liability is limited to the amount paid by the user in the relevant calendar year.

All intellectual property rights to FormDesk and associated documentation belong to Vesta Group B.V. The user is not permitted to remove or alter any intellectual property rights notices.

The agreement is entered into for a period of one year and is automatically renewed, unless terminated in writing at least three months before the end of the term. SEDNA.software is entitled to terminate the agreement with immediate effect in the event of a serious breach of these terms.

Dutch law applies to this agreement. Disputes shall be submitted in the first instance to the competent court in Breda, the Netherlands.
